Terms of Service
1. Who these terms are between
These terms are a contract between AC Süppmayer GmbH, Kaiserstr. 26a, 66111 Saarbrücken, Germany, registered at Amtsgericht Saarbrücken under HRB 11214 (“we”), and the business that creates a GoRunner Cloud account or organization (“you”). They cover GoRunner Cloud at app.gorunner.io and api.gorunner.io.
Your own general terms do not apply, even if we do not object to them.
2. For businesses only
GoRunner is for businesses and professionals. You use it for your trade, business or profession, as an entrepreneur (Unternehmer, § 14 BGB), not as a consumer. Whoever signs up confirms that they act for that business and may bind it.
3. The service
- GoRunner is workflow automation: you build workflows, connect apps, test, publish and run them, and may use Keel, the assistant, with an AI provider your organization connects.
- GoRunner Cloud is free of charge today. If we introduce paid features, their price is agreed with you before you use them.
- We may change, add or remove features, as long as the service as a whole stays reasonable for you. We tell you in advance about changes that significantly reduce what you can do.
- We promise no particular availability. There is no service level agreement. Maintenance and faults, ours or those of the providers we depend on, can interrupt the service.
- The apps, websites and AI providers your workflows connect to are not part of our service. Their own terms govern them, and we are not responsible for what they do or return.
4. Your account
Keep your account details accurate and your sign-in secure. You are responsible for what happens under your account and your API tokens, and for the people you invite into your organization. Tell us at security@gorunner.io without delay if you think someone else has access.
5. Acceptable use
- You may not use GoRunner to break the law or infringe anyone’s rights, send spam, spread malware, access or probe systems you are not authorised to, get around GoRunner’s limits or security, or put an unreasonable load on the service.
- You are responsible for what your workflows do and for having the rights and the legal basis to process the data you put through them, including data about other people.
6. Your data and the DPA
- Your workflows, run data and connected data remain yours. You give us only the rights we need to provide the service to you.
- We process the personal data in your organization’s workflows on your behalf. Our Data Processing Agreement (Art. 28 GDPR) is part of these terms and governs that processing. The providers we use are listed on the sub-processors page.
- Keel sends data to the AI provider your organization connects, with your organization’s own account, as the Privacy Policy describes. Your contract with that provider governs what it may do with the data.
- Runs are deleted automatically 90 days after they finish; each workflow keeps its newest finished run per environment. Keep a copy of anything you need for longer.
7. Our rights in GoRunner
GoRunner, its software and its documentation remain ours. For as long as this contract runs, you may use GoRunner Cloud for your business; this right is non-exclusive and not transferable. No open-source license is granted.
8. Liability
- We are liable without limit for intent and gross negligence, for injury to life, body or health, under the Product Liability Act (Produkthaftungsgesetz), and under any guarantee we have given.
- While the service is free of charge, we are otherwise not liable, in line with the statutory rules for services given free of charge (§§ 521, 599 BGB).
- For a paid service, we are liable for slight negligence only if we breach an essential obligation: one whose fulfilment makes the proper performance of the contract possible at all, and on which you may regularly rely. Our liability is then limited to the damage that is typical for this kind of contract and foreseeable when it was made.
- These rules also apply to our employees, representatives and the people we engage.
9. Suspension and termination
- We may suspend a workflow, a connection or an account that endangers the service, other customers or third parties, or that breaks these terms. We tell you when we do, and why, and beforehand unless the danger makes us act at once. We lift the suspension when the reason is gone.
- The contract runs with no fixed end. You may end it at any time by deleting your account or your organization. While the service is free of charge, we may end it with 30 days’ notice by email.
- Either side may end it without notice for good cause (aus wichtigem Grund).
10. Changes to these terms
- We may change these terms for a valid reason, such as a change in the law or in the service. We do not change the main obligations (what the service is, and what it costs) this way.
- We send you each change by email at least 6 weeks before it takes effect. Until then you may object to it, or end the contract. The email tells you what happens if you do neither: the change then applies. If you object, either side may end the contract when the change would have taken effect.
11. Self-hosted GoRunner and GoRunner Embed
These terms cover GoRunner Cloud. The self-hosted edition and GoRunner Embed are governed by their own license or agreement, which you receive with them.
12. Final provisions
- German law applies. The UN Convention on Contracts for the International Sale of Goods (CISG) does not.
- If you are a merchant (Kaufmann), a legal entity or special fund under public law, or have no general place of jurisdiction in Germany, the exclusive place of jurisdiction is Saarbrücken.
- If one provision is invalid, the rest of the contract stays valid.
